Press Release: The First and Founding Congress Of the Vietnam Independent Directors Association

THE FIRST AND FOUNDING CONGRESS OF THE VIETNAM INDEPENDENT DIRECTORS ASSOCIATION – TERM 2022 – 2027

Hanoi, 28 April 2022 – Following the direction of the Ministry of Home Affairs under Decision No. 04/QD-BNV dated 5 January 2022 on allowing the establishment of the Vietnam Independent Directors Association (VNIDA), on 28 April 2022 VNIDA has successfully held the Founding Congress to officially set up and launch the Association. This marks an important milestone for all members of the Association, who have shared the goals, aspirations, and developed together to further the Association’s mission.

Mr. Nguyen Sinh Dung Thang – The Chairman of the Presidium conducted the opening session, declared the reasons for the Association, introduced the delegates, and ran the Congress.

Attending the Congress were the invited delegates:

• Mr. Ta Tan, Deputy Director, the Department of Non-Governmental Organizations, Ministry of Home Affairs
• Mr. Tran Minh Tan, Specialist, the Department of Non-Governmental Organizations, Ministry of Home Affairs

Along with the attendance of nearly 100 delegates in person and online, the members continue to support the Association since the early days of its establishment. One hundred percent of the delegates were eligible to conduct direct voting in the Congress according to the regulations. The VNIDA Congress for the 1st term 2022 – 2027 agreed to work on the principle of democracy and centralism, and decide by majority all issues that are to be discussed publicly by the delegates before the Congress decides.

Under the direction of the Ministry of Home Affairs, the Association’s mission is to promote corporate governance best practices, to add value for independent directors and board performance through networking, training and experience sharing, as well as protecting the interests of our members to strengthen the professionalism, independence, transparency, and integrity of independent directors. The VNIDA has determined that the main direction of the Association’s activities in the 2022 – 2027 term is to consolidate the organization, develop regulations for specialized committees with specific activities to stabilize and promote the Association’s activities. Focusing on member development, building a development network, fostering and training support to help ensure transparency and independence of businesses and improve the position of the Association in the Vietnam business community.

Through the public, transparent and democratic election process, 100% of the delegates attending the Vietnam Independent Directors Association’s Congress have agreed to elect the Association’s leading bodies with 25 members of the Executive Committee and 3 members of the Inspection Committee.

Right after that, the Executive Committee has held the first meeting and all the member of the Executive Committee agreed to elect the Standing Committee of the Vietnam Independent Directors Association, with the following positions:

1. Mr. Nguyen Sinh Dung Thang – President
2. Mr. Dang The Duc – Secretary General
3. Mr. Nguyen Tien Thanh – Standing Vice President
4. Ms. Hoang Hai Anh – Vice Chairwoman
5. Mr. Ngo Dinh Duc – Vice President
6. Mr. Nguyen Thanh Tung – Vice President
7. Mr. Le Hong Linh – Vice President
8. Mr. Trinh Quoc Van – Vice President
9. Mr. Trinh Thanh Binh – Vice President
10. Mr. Vuong Van Quang – Commissioner
11. Mr. Nguyen Ngoc Kien – Commissioner

Ms. Hoang Hai Anh on behalf of the Presidium read the draft Report and approved the Resolution of the Congress. The Congress voted and 100% of the delegates agreed to pass the Resolution of the Congress of the Vietnam Independent Directors Association.

The Congress of the Vietnam Independent Directors Association concluded successfully.
